TERMS AND CONDITIONS OF SPINNERS ONLINE SHOP 

§ 1
GENERAL CONDITTIONS

1. Spinners Shop is an online shop available from the domain adress www.spinnerslongboards.com, run by Spinners Sp. z o.o. with its seat in Łódź.
2. The Shop is an instrument through which the Seller sells Goods through the Internet and is a way to enter into an agreement concerning Goods with the Seller.
3. The Shop is run in accordance with the Terms and Conditions and law regulations applicable to the Shop and the Seller's activities, in particular Internet activities. Terms and Conditions specify:
(a) the types and scope of the Electronic services referred to in the Terms and Conditions
(b) the terms and conditions of providing Electronic services, including:
technical requirements necessary for cooperation with the IT system used by the Seller
prohibition on the provision by the Customer of content of unlawful character
(c) the terms and conditions for the conclusion and termination of the Electronic services agreement as referred to in the Terms and Conditions
(d) complaint procedure regarding Electronic services
(e) rules for use of the Shop including the rights and obligations of the Customer and Seller arising out of the use of the Shop.
4. For the purpose referred to in sec. 2 the Seller provides Electronic services through the Shop

§ 2
DEFINITIONS AND CONTACT DETAILS


1. Terms used in the Terms and Conditions and capitalized  have the following meaning:
(a) Shop - a website system provided and operated at the domain www.spinnerslongboards.com and subdomains through which the Seller sells the Goods through the Internet and provides Electronic services, provided with IT functionality enabling the contract to be concluded with it
(b) Seller- Spinners Sp. z o.o. with its seat in Łódź
(c) Customer - any legal entity that uses the functionality of the Shop in particular purchases the Goods through the Shop
(d) Content - the entire content of the Shop, including, in particular, information concerning Goods and the Seller
(e) Order form-functionality of the Shop containing the necessary information about the Customer and his submitted  orders for Goods that are sent to the Seller through the Shop under the procedure of concluding  through the Shop contract on Goods, used to make a Customer order for Goods through the Shop
(f) Consumer- natural person performing with the entrepreneur i.e. the Seller legal action not directly related to its business or professional activity
(g) Goods - all of movable items (commercial goods) sold by the Seller through the Shop, in the offered scope, i.e. longboards, subassemblies, parts and accessories for such boards and garments (T-shirts, caps)
(h) Terms and Conditions - these Terms and Conditions governing the operation of the Shop, available at the address www.spinnerslongboards.com/terms-and-conditions-spinners.
(i) Electronic service - a service specified in the Terms and Conditions constituting the indicated functionality of the Shop and constituting the provision of services by electronic means within the meaning of the Electronic Services Act, i.e .the performance of services provided without simultaneous presence of parties (at a distance) by means of data transmission at the individual request of the customer, transmitted and received by means of electronic processing equipment, including digital compression, and storage of data which is wholly broadcasted, received or transmitted by means of a telecommunications network within the meaning of the Act of 16 July 2004 - Telecommunication Law; The Terms and Conditions determine the types and scope of Electronic services
(j) Payment Service Provider - provider of payment services within the meaning of the Act of 19 August 2011 on Payment Services  (Journal of Laws 2014.873, consolidated text) allowing the Customer to make payment for Goods via the internet money transfers, payment cards, credit cards or debit cards otherwise used for sale via the Internet and made available in the Store
(k) Paypal - Internet payment system consisting of providing payment services, including payments based on the issue and redemption of electronic money provided by PayPal (Europe) S.à r.l. Et Cie, S.C.A. With official seat in Luxembourg, L-2449
(l) Electronic Services Act –Act of July 18, 2002 on the provision of services by electronic means (Journal of Laws of 2013.1422, as amended)
(m) Consumer Rights Act - Consumer Rights Act of 30 May 2014 (Journal of Laws of 2014.827, as amended)
(n) Civil Code - Act of 23 April 1964 Civil Code (Journal of Laws 2016.380, as amended).

3. By the information contained in the Terms and Condtions and relevant information available in the Shop, the Seller shall provide the information referred to in section to 2 and informs about:
(a) the main characteristics of the provision, including the subject matter of the provision and the means of communication with the Consumer;
(b) the total price of the Goods;
(c) the manner and date of payment;
(d) the manner and date of performance of the provision by the Seller;
(e) the complaint procedure used by the Seller, including the Electronic services;
(f) the manner and date of exercise of the right of withdrawal under Article 27 of the Consumer Rights Act, as well as specimen form of the withdrawal contained in Annex 2 to the Consumer Rights Act;
(g) events of lack of the right of withdrawal under Art. 38 of the Consumer Rights Act or the circumstances in which the Consumer loses his right of withdrawal;
(h) the costs of returning the Goods in the event of withdrawal from the contract, which are borne by the Consumer;
(i) the Seller's obligation to deliver the Goods without defects;
(j) the existence and content of guarantees and after-sales services and the manner in which they are implemented;
(k) the functionality of digital content and the technical means of their protection;
(l) interoperability of digital content with computer hardware and software that the Seller knows or should know
(m) the possibility of using out-of-court means of dealing with claims and dispute settlement and the rules of access to these procedures

§ 3
PROCEDURE OF CONCLUSION OF CONTRACT VIA SHOP


1. The Shop is used to conclude sales agreements between the Customer and the Seller.
2. Notwithstanding the provisions of section 1, as part of the use of the Shop, the Customer and the Seller conclude agreements concerning Electronic services referred to in the Terms and Conditions.
3. The procedure of conclusion of contract for Goods through the Shop consists of technical activities referred to in sec. 4 related to the placing of order by the Customer and technical activities referred to in sec. 6 related to confirmation of the acceptance of the order for execution. The procedure for contracting Electronic services is governed by § 6 of the Terms and Conditions.
4. In order to place a successful order by the Customer, the following are required:
(a) use of the Order Form;
(b) the choice of the ordered Goods;
(c) the choice of one of the available payment methods;
(d) the choice of one of the available methods of delivery of the Goods;
(e) completion of the Order form to the rest of its scope (delivery address, invoice data, etc.);
(f) confirmation of the order in accordance with the choice that results in the payment obligation.
5. If the order is placed correctly by the Customer, the order is immediately sent to the Seller via the Shop.
6. Upon receipt of the Customer's order in accordance with section 5 Seller will immediately send to the Customer's e-mail address given in the Order form a message on the confirmation of acceptance of the order to be executed. This message may be preceded by a message confirming the order placed by the Customer.
7. Immediate confirmation by the addressee of the offer results in binding with the content of the submitted offer.
8. The data necessary for the conclusion of the contract in the Shop under the contract conclusion procedure are entered, fixed and available through the Order form. Confirmation of acceptance of the order to be executed referred to in sec. 6 contains data composing the content of the concluded contract concerning Goods.
9. Use of the Store and its functionality, including, in particular, the insertion of information in the Order form and the detection and correction of errors in this information, and the is available by use of a suitable web browser application (eg Internet Explorer, Mozilla Firefox, Google Chrome, Opera e.t.c.).

§ 4
Payments and delivery


1. Payments of Customers for Goods purchased in the Shop are availabe:
(a) by cash payment at delivery (on collection);
(b) in the form of a traditional transfer;
(b) through the payment methods available under PayPal;
(c) by means of payment methods used in payment services provided on the Internet available at the Shop, in particular through payment methods offered by the Payments Service Provider, if made available through the Shop.
2. Prices stated in the Shop are prices expressed in Polish zloty and euro and include the amount of goods and services tax. Prices do not include the cost of delivery of the Goods.
3. The total cost to pay for the order for purchases made in the Shop consists of the sum of the price of the Goods ordered, the cost of delivery of the Goods (the chosen method of delivery), the cost of the method of payment (if applicable). All payments of which the total cost of payment consists are indicated in the Shop, in particular in the Goods ordering procedure.
4. The price quoted for each of Goods is binding at the time the order is placed by the Customer.
5. Payments referred to in sec 1 points (b) - (d) are made in accordance with the following rules:
(a) payments are handled by the Payment Service Provider;
(b) payment may be made only by persons authorized to use the given instrument, on the basis of which the realization of payment is made, particularly given payment card, debit or credit card may be used only by the authorized holder of the card;
c) in the cases referred to in sec 1 points (c) - (d) transaction form provided by the Payment Service Provider is proivded or the Customer is redirected to the appropriate Payment Service Provider website according to the selected payment method;
d) the payment takes place in accordance with the principles applied by the Payment Service Provider, made available by Payment Service Provider.
6. Goods ordered in the Store are delivered (sent) by:
(a) personal collection;
(b) shipping via courier service according to the services offered by this entity indicated in the Shop.
7. Subject to the category of availability of the Goods referred to in section 9 orders for Goods are executed on working days, up to three working days for standard orders or up to 7 working days for special orders (eg color change, engraving) from:
(a) confirmation of the acceptance of the order for execution, in the case of the method of payment referred to in section 1 point (a);
(b) receipt of payments concerning order, in the case of other payments referred to in section 1
which means that within this time the Goods are delivered to the shipment or ready for personal collection according to the chosen manner of delivery (shipment) of the Goods.
8. Shippment of the Goods abroad is possible in the case of such indication in the Shop, in which case also the specific delivery costs resulting from such shipment are also indicated in the Shop.
9. At the Shop, the availability categories of the Goods are indicated, i.e. available, sold out or available soon,

§ 5
Customer Obligatios


1. All information provided by the Customer in the Shop, including in the Order form, in particular the information given for the purpose of concluding the contract in the Shop should be consistent with the actual situation.
2. It is forbidden to provide unlfawful content by the Customer using the Electronic service referred to in § 6 of the Terms and Condtions.

§ 6
Electronic service


1. The Seller provides Electronic services through the Shop. Electronic services are free of charge.
2. Electronic services shall provide the Customer with all functionality of the Shop, including the ability to conclude with the Seller through the Shop the contract for Goods, and in particular:
(a) provide, at Customer's individual request, information contained within the Shop by displaying a URL-specific page, including Seller and Goods information, and information on how to enter into and execute the contract;
(b) enable the Customer to request individual communications for the purpose of concluding the contract, including placing an order, in particular through the Order form;
(c) enable the Customer to conclude an agreement on the Goods through the Shop, including the ability to agree terms, price and shipping costs;
(d) provide presentation of the Goods sold through the Shop and their search;
3. Through the Shop, the Seller provides the following Electronic services:
(a) Order form;
(b) availability of the Content, including the presentation of the Goods;
4. The conclusion of the Electronic services contract is reached by the Customer initiating the use of the Electronic service, i.e. by accessing the functionality of the Shop.
5. The Customer may at any time terminate the use of the Electronic service. Termination of the contract for use of an Electronic service shall be terminated by discontinuing the use of such functionality of the Shop. In that case, the contract is automatically terminated without the need for additional statements from the parties.
6. In order to properly use the Electronic services, the Customer should have:
(a) connection to the Internet;
(b) computer hardware and software with web browser functionality enabling the display of HTML documents on computers screen or mobile devices, allowing the appropriate software to use the web browser application on mobile devices.
7. Complaints regarding Electronic services should be submitted using the contact details referred to in § 2 sec. 2.
8. Complaints referred to in sec. 8 are dealt with within 14 days of their receipt. The Seller will inform the Customer of the results of the complaint using the Customer's contact details given in the complaint notification.

§ 7
Withdrawal from contract


1. On the basis of Art. 27 of The Consumer Rights Act , Consumer, who has concluded contract through the Shop, shall be entitled to withdraw from the contract:
(a) concerning Goods;
(b) concerning Electronic service.
2. Instruction on rules for the use of the right of withdrawal and its consequences is annexed to the Terms and Conditions.
3. The right to withdraw from a contract concluded away from business premises or at a distance is excluded for a Consumer in respect of contracts:
(a) for the provision of digital content which is not recorded on a material medium if the performance has begun with the express consent of the Consumer before the deadline to withdraw from the contract and after having informed him by the entrepreneur of the loss of the right of withdrawal;
(b) the object of which is to provide for the non-prefabricated, manufactured item according to the specifications of the Consumer or destined to meet its individual needs.

§ 8
Complaints


1. The Seller is obliged to deliver items (Goods) without defects.
2. The Customer is entitled to the rights under the warranty referred to in the provisions of the Civil Code.
3. Complaints should be submitted using Seller's contact information referred to in § 2 sec. 2 of the Terms and Conditions. Customers may use the complaint form, however, this is not mandatory.
4. It is suggested to provide, in the complaint, the following information: name, exact address (street, postcode, city), contact telephone number, e-mail address, description of the order, reason for the complaint.
5. The complaint procedure, referred to in sec. 3-4 is suggested procedure and in no way excludes or restricts the law of acceptable ways of claiming.
6. Complaints are dealt with in accordance with the rules of the warranty, referred to in the provisions of the Civil Code, subject to paragraph. 7. The Customer who exercises warranty rights is obligated at the expense of the Seller to deliver the defective Goods to the Seller's address referred to in § 2 of the Terms and Conditions. This paragraph shall also apply to the return of the Goods in the event of termination of the contract and replacement of the Goods for free from defects.
7. For Non-Consumer Customers, the Seller's liability under the warranty is excluded pursuant to art. 558. § 1 of the Civil Code
8. If the guarantee is provided for Goods, information in this respect is available at the Store. The guarantee is made in accordance with the terms of the guarantee attached to the Goods.

§ 9
Technical requirements


Access and use of the Shop is possible on operating system platforms that enable the use of the Internet and software with web browser functionality to display HTML documents on the computer screen, on any type of computer that meets the requirements of such operating systems and any type of Internet connection using software that has web browsers functionality such as Microsoft Internet Explorer, Mozilla FireFox, Opera, Apple Safari (MacOS only) and Google Chrome 23.X (MS Windows only) or mobile devices with software to display the Shop on these devices, in particular, applications with web browser features for mobile devices.

§ 10
Final Provisions

1. The Shop and contracting activities in the Shop are available in Polish and English.
2. The Terms and Conditions are made available to the Customer at the address www.spinnerslongboards.com/terms-and-conditions-spinners before the conclusion of the contract, and - at his request - in a form that enables the acquiring, maintaining the content of the Terms and Conditions by means of the IT system used by the Customer including in particular downloading, copying, downloading and saving on the Customer's disk or printing.
3. The Terms and Conditions are an integral part of the contract concluded through the Shop, including the Electronic services contract
4 The Customer has the right to file a complaint referred to in the Terms and Conditions and to use other claims resulting from the law. The Customer has the right to use out-of-court manners of dispute resolution, including in particular:
(a) mediation, including, in the case of a Consumer, mediation of mediators acting at the Trade Inspection;
(b) arbitration courts, including, in the case of a Consumer , permanent arbitration courts at the Trade Inspection;
(c) in the case of Consumers , to use help of municipal or county consumer ombudsmen;
(d) in the case of a Consumer, to use the Internet Platform for the Dispute Settlement of Disputes between Consumers and Entrepreneurs at EU level (ODR Platform), available at https://webgate.ec.europa.eu/odr/
5. The Terms and Condition may be changed. The provision of the amended Terms and Conditions shall be made in accordance with sec. 2 and applies to orders for Goods submitted after it has been made available and submitting during the ordering process by the Customer of a statement regarding the acceptance of the Terms and Conditions after the change, in particular the amendment of the Terms and Conditions does not apply to orders submitted prior to its availability as well as to the Electronic services, which the Customer started using before it was made available.
6. In matters not regulated herein generally applicable laws apply, in particular the Civil Code, the Consumer Rights Act, the Electronic Services Act.

Right of withdrawal

You have the right to withdraw from the contract within 14 days without giving any reason.
The deadline to withdraw from the contract will expire after 14 days from the date on which
• you have acquired possession of item or a third person other than the carrier and indicated by you acquired possession of item
• in the case of a contract involving a lot of items, you acquired possession of last item or a third party other than the carrier and indicated by you acquired possession of last item
• for services - you have entered into an agreement

To exercise your right of withdrawal, you must inform us, i.e, Spinners Sp. z o.o., seat and address: ul. Nawrot 1, 90-060 Lodz, Phone: PL: 508 139 346, ANG: 503 935 962, e-mail: [email protected], of your decision to withdraw from the contract by a unequivocal statement (for example, a letter sent by mail, fax or e-mail).
You may use the specimen form of withdrawal, but this is not mandatory.
To keep the deadline for withdrawal, it is enough to send information on exercising the right of withdrawal from the contract before the deadline for withdrawal.

Consequences of withdrawal

In the case of withdrawal, the contract is deemed void. In case of withdrawal from the contract we shall reimburse to you all payments received from you, including the costs of delivery of goods (with the exception of the additional costs resulting from the choice of a type of delivery other than the least expensive normal delivery offered by us), immediately and in any event no later than 14 days from the day on which we are informed about your decision to exercise the right to withdraw from this contract. Reimbursement of payments will be done using the same payment method that you used for the initial transaction, unless expressly agreed otherwise; in any case you will not incur any fees in connection with the return. We may withhold reimbursement until receipt of item, or to have supplied evidence of return, depending on which event occurs first.
Please send or give us the item immediately, and in any event no later than 14 days from the day on which you communicate to withdraw from this agreement. The deadline is met if you send back the item before the deadline of 14 days.
You will have to bear the direct cost of returning of items.
You are only responsible only for decrease in the value of item resulting from the use of it in a different way than was necessary to establish the nature, characteristics and functioning of item.
